Welcome to Guanaco Labs. These Terms of Service (“Terms”) govern your access to and use of the Guanaco Labs websites, software (including Vicuna), and services. By accessing our platform or using our services, you agree to be bound by these Terms.
1. Description of Services
Guanaco Labs is a biotechnology engineering company providing engineering services and software products. Our flagship product, Vicuna, is nanobody design software that predicts binding for nanobody–antigen pairs and runs virtual screens across natural repertoires and de novo designs. We also undertake custom engineering engagements. Where you use Vicuna, you submit antigen identities, sequences, or designs and receive computational results as service deliverables.
2. User Accounts and Responsibilities
- Account Creation: To use our services, you must register for an account and provide accurate, current, and complete information.
- Security: You are strictly responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
- Submission Accuracy: You are responsible for ensuring that all antigen identities, sequences, and designs submitted to Guanaco Labs are accurate and that you have the legal right to submit them.
3. Intellectual Property & Data Licensing
This section outlines the ownership and usage rights of the data submitted to and generated through our services:
- Client Ownership: You retain all ownership rights to the original antigen identities, sequences, and designs you submit to Guanaco Labs.
- Deliverables: Upon full payment for our services, you are granted a perpetual, non-exclusive license to use the prediction results, candidate rankings, and design outputs generated from your project for your own research or commercial purposes.
- The “Vicuna” Improvement License: By submitting data and using our services, you grant Guanaco Labs a perpetual, royalty-free, worldwide, and irrevocable license to use your submitted data, together with the resulting generated results, specifically for the purpose of training, testing, and improving Vicuna and our related models.
- Guanaco Labs IP: We retain all rights, title, and interest in our proprietary software and algorithms (including Vicuna), models, methodologies, website content, and underlying infrastructure.
4. Data Retention and Account Termination
- Termination by You: You may terminate your account at any time. Upon doing so, your personal account data will be scheduled for permanent deletion following a 24-hour recovery window.
- Survival of Scientific Data: As outlined in our Privacy Policy, the termination of your account does not automatically result in the deletion of your submitted antigen sequences or designs, nor their removal from the datasets used to improve Vicuna.
- Manual Deletion Requests: To request the complete removal of your submitted scientific data from our active databases, you must submit a specialized request to help@guanacolabs.com.
- Termination by Us: We reserve the right to suspend or terminate your account at our discretion, without notice, for conduct that violates these Terms or is harmful to other users, us, or third parties.
5. Prohibited Conduct
You agree not to use our services to:
- Submit any biological sequences or data that are illegal, hazardous, or designed for malicious bio-engineering purposes.
- Infringe upon the intellectual property rights of any third party.
- Attempt to reverse-engineer, decompile, or otherwise misuse the Vicuna software or our hosted infrastructure.
6. Warranties and Limitation of Liability
- “As Is” Service: Vicuna’s outputs are computational predictions and are inherently probabilistic. Guanaco Labs provides its software and services on an “as is” and “as available” basis. We do not guarantee specific binding affinities, success rates, or experimental outcomes for any predicted or designed nanobody.
- Limitation of Liability: To the maximum extent permitted by law, Guanaco Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or scientific progress, resulting from your use of or inability to use the services.
7. Governing Law and Jurisdiction
These Terms shall be governed and construed in accordance with the laws of the United States and the State of Washington, without regard to its conflict of law provisions.
